To the extent permitted by law, SaveDaily will not be responsible for any loss or liability incurred arising out of or in connection with the Platform, except to the extent, if any, that the gross negligence or willful misconduct of SaveDaily caused the loss or liability.

You agree that SaveDaily will have no liability, contingent or otherwise, to you (i) for the correctness, completeness, quality, reliability, performance or continued availability of the Platform, (ii) for any special, indirect, incidental or consequential damages that may be incurred or experienced on account of your use or attempted use of the Platform, (iii) for any failure to inform you of difficulties (including systems delays) experienced by SaveDaily or other third parties with respect to the use of the Platform, (iv) to verify, correct, complete or update any information made available via the Platform, or (v) for the failure of any connection to the Platform to provide or maintain your access to the Platform, or for any interruption or disruption of such access or any erroneous communications between SaveDaily and you. You agree that the liability of SaveDaily arising from any failure of the Platform will not exceed $100. The federal and state securities laws impose liabilities under certain circumstances on persons who act in good faith, and therefore nothing in these Terms and Conditions will waive or limit any rights that you may have under those laws.

Jurisdictional Issues and Applicable Law

Unless otherwise specified, SaveDaily controls and operates this site from our offices within the State of California, United States of America.

• SaveDaily does not claim that materials in this site are appropriate or available for use in locations other than California. If you choose to access this site from other locations, you do so on your own initiative, and you are responsible for compliance with any applicable local laws.
• Software from this site is further subject to United States export controls. Software from this site may not be downloaded or otherwise exported or re-exported outside the United States. By downloading or using the Software, you represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory outside of the United States.
• California state law governs these terms. If you take legal action relating to these terms, you agree to file such action only in the Superior Court of the County of Orange, California, or the United States District Court for the Southern District of California, and you consent and submit to the personal jurisdiction of those courts for the purposes of litigating any such action.

Termination

Either party may terminate this agreement at any time by destroying:

• All materials obtained from any SaveDaily site.
• All related documentation, copies, and installations, whether or not made under these terms. SaveDaily will terminate this agreement immediately without notice if, in SaveDaily's sole discretion, you fail to comply with any term or provision of this agreement. Upon termination, you must destroy all materials obtained from this or any SaveDaily site and all copies of those materials, whether or not they were made under these terms.

Integration and Severability

If any provision of these terms is deemed unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from these terms and will not affect the validity and enforceability of the remaining provisions. The preceding terms and conditions of use represent the entire agreement between SaveDaily and the user relating to the subject matter herein. If the user has, or opens, an account with SaveDaily, the terms and conditions of the SaveDaily Account Agreement will govern the user’s relationship with SaveDaily regarding the investment account.
